Welcome to SalesPulse. These Terms of Service ("Terms") are a legal agreement between you and SalesPulse Inc., a company registered in Fajardo, Puerto Rico ("SalesPulse," "we," "us," or "our"). These Terms govern your access to and use of the SalesPulse platform, including our website, CRM tools, AI dialer, lead marketplace, website builder, and all related services (collectively, the "Service"). By creating an account, you agree to be bound by these Terms.
By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, and any additional terms applicable to specific features you use (including Buyer Terms, Vendor Terms, and TCPA Disclosure). If you do not agree, you may not use the Service.
If you are using the Service on behalf of an organization (such as an insurance agency), you represent and warrant that you have authority to bind that organization to these Terms.
You must be at least 18 years old and a legal resident of the United States to use the Service. By using SalesPulse, you represent that you meet these requirements and that all information you provide during registration is accurate and complete.
You must register for an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at sales@salespulse.app if you suspect unauthorized access to your account.
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a risk to other users or the platform.
SalesPulse provides the following services:
You agree not to use the Service to:
Your Data: You retain ownership of all data you upload, create, or generate through the Service, including contacts, leads, notes, documents, and communications ("Your Data"). You grant SalesPulse a limited, non-exclusive license to process Your Data solely for the purpose of providing and improving the Service.
Platform Data: SalesPulse retains ownership of aggregated, anonymized analytics, usage data, and any proprietary algorithms, models, or features developed as part of the Service.
Data Portability: You may export Your Data at any time through the platform's export features. Upon account termination or cancellation, we will retain Your Data for 30 days to allow you to export it, after which it will be permanently deleted unless otherwise required by law. For expired free trials without a payment method on file, data is preserved for 90 days before deletion.
The Service may record calls and generate AI-powered transcripts, summaries, and analytics. You are solely responsible for complying with all applicable federal and state laws regarding call recording consent. Many states require all-party consent to record telephone conversations. You agree to obtain all necessary consents before recording any call using the Service.
AI-generated content (including call summaries, lead scoring, and recommendations) is provided for informational purposes only and should not be relied upon as legal, financial, or professional advice.
Certain features of the Service require a paid subscription. By selecting a paid plan, you agree to pay the applicable fees as described at the time of purchase. Please see our Billing & Refund Policy for detailed information about billing cycles, refunds, and cancellation.
New users on the Standard plan receive a 30-day free trial with full access to all Standard features. At the end of the trial period, if you have not added a payment method, your access to paid features will be suspended. We will not charge you without your explicit consent. The Service, including all software, design, text, graphics, logos, and trademarks, is owned by SalesPulse Inc. and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.
The Service may integrate with third-party services (e.g., Twilio for telephony, Stripe/Square for payments, Google for analytics). Your use of third-party services is subject to their respective terms and privacy policies. SalesPulse is not responsible for the availability, accuracy, or practices of third-party services.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SALESPULSE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO SALESPULSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless SalesPulse, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.
You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately, but Sections 6, 10, 12–14, and 16–22 shall survive.
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico, without regard to its conflict of laws principles. Any disputes arising from or related to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Puerto Rico. You agree to waive any right to a jury trial or to participate in a class action.
We may modify these Terms at any time by posting the updated version on our website. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
These Terms, together with the Privacy Policy, Billing & Refund Policy, Data Processing Agreement, TCPA Disclosure, and any other policies referenced herein, constitute the entire agreement between you and SalesPulse regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
The failure of SalesPulse to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by SalesPulse to be effective.
You may not assign or transfer these Terms or your rights under them without our prior written consent. SalesPulse may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets without your consent.
SalesPulse shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, acts of war or terrorism, epidemics, government actions, power failures, internet disruptions, or third-party service provider outages.
